1. Who we are
Shopdrop is operated by SHOPDROP (PRIVATE) LIMITED. In these terms, "we", "us" and "Shopdrop" mean that company. "You" means the person or business using the service.
By creating an account you accept these terms. If you are accepting on behalf of a company, you confirm you are allowed to bind it.
2. What Shopdrop is
Shopdrop is software for building and running an online store. We host your storefront, store your products and orders, and give you tools to manage them.
We are not a party to what you sell. When a shopper buys from your store, the contract is between them and you. You set the prices, you take the money, you ship the goods, you handle returns, and you are responsible for the tax on those sales. We do not hold your sales revenue and we are not a payment processor for it.
Our own subscription fees are the separate thing described in section 4, and those we do charge you for.
3. Your account
- You must be at least 18, or old enough to enter a contract where you live.
- Give us accurate details and keep them current. We rely on your email to reach you about billing and security.
- Keep your password to yourself. You are responsible for what happens under your account, so tell us immediately if you think someone else has access.
- One person or business per account. Do not share logins with people who should have their own.
You can close your account at any time. Section 9 explains what happens when we close one.
4. Plans and billing
Current plans and prices are on our pricing page. Prices are in US dollars. Tax is added on top where it applies and is shown before you confirm.
Paddle.com Market Ltd is our authorised reseller and the merchant of record for every Shopdrop subscription. They process the payment, handle sales tax and VAT, and issue your receipt, which is why their name appears on your statement. Their terms apply to the payment transaction itself; these terms apply to the service.
Subscriptions renew automatically until cancelled. Upgrades take effect immediately with a prorated charge; downgrades take effect at the end of the period you have already paid for. Cancellation, free periods, failed payments and refunds are covered in full by our Refund and Cancellation Policy, which forms part of these terms.
We may change our prices. If a change affects a plan you are on, we will tell you by email at least 30 days beforehand, and it takes effect at your next renewal. You can cancel before then and pay nothing further.
5. Acceptable use
You may not use Shopdrop to sell, promote or distribute:
- Anything illegal where you or your buyer is located.
- Weapons, ammunition, explosives, or their components.
- Illegal drugs, controlled substances, or products marketed as evading drug laws.
- Counterfeit goods, or anything infringing someone else's trademark or copyright.
- Stolen goods, or data and credentials obtained without permission.
- Adult sexual content or services, and anything involving minors.
- Live animals, human remains, or human body parts.
- Financial products, investment schemes, gambling, lotteries, or multi-level marketing.
- Prescription medicines, or health products making unlicensed medical claims.
- Products that are unsafe, recalled, or banned from sale.
You also may not:
- Break into, probe, overload or disrupt our systems, or anyone else's store.
- Scrape, resell or rebrand Shopdrop as your own product.
- Send spam, or collect email addresses and phone numbers without consent.
- Deceive buyers about who you are, what you are selling, or whether you will ship it.
- Use our AI features to generate content that is illegal, deceptive, or impersonates a real person or brand.
These rules exist partly because our payment partners require them. A store breaking them puts every other store at risk, which is why we act on them quickly.
6. Your content
Your products, images, text, logo, domain and customer data remain yours. We claim no ownership of them.
You give us the permission we need to run the service: to store your content, display it on your storefront, back it up, and process it to provide features you have asked for. That permission ends when you delete the content or close your account, other than for backups that expire on the schedule in our Privacy Policy.
You confirm you have the right to use everything you upload, including photographs and brand names. If someone tells us your content infringes their rights, we may remove it and will tell you why. Our copyright and takedown policy sets out how that works, including how to challenge a removal.
Where you use our AI features, you own the output in the same way as anything else you upload, and you are responsible for checking it before you publish it.
You may give Genie something to work from, such as a screenshot, a web page, a link or photos whose style you want to match. That is your choice, and the rules above apply to it: you are responsible for having the right to use it, and for making sure your store does not copy another business's brand or present itself as that business. If you believe a store on Shopdrop copies yours, email info@shopdrop.pro and we will look into it under our copyright and takedown policy.
You can connect an AI assistant you use, such as Claude, ChatGPT or Grok, to your account. It then works on your instructions. A change it makes within the permissions you chose is your change, the same as one you make yourself, and you are responsible for checking it. Bigger changes, and anything that uses credits, wait for your tap in the chat. Another company provides the assistant, under its own terms. Those terms govern what it gets from your store and what it says, and we don’t control it. We may limit or switch off a connection to protect your store or the service.
7. Selling to your customers
As the seller, you are responsible for:
- Publishing your own terms, refund policy, delivery information and contact details on your store.
- Fulfilling orders, handling returns and answering your buyers.
- Charging, collecting and remitting any tax on your sales.
- Complying with consumer protection and data protection law where your buyers are.
- Handling your buyers' personal data lawfully. In relation to that data you are the controller and we act on your instructions, as set out in the Privacy Policy.
8. Availability and support
We work to keep Shopdrop available continuously, and we do not promise it never goes down. We carry out maintenance, and we will give notice for anything planned that we expect to interrupt storefronts.
Support is by email at info@shopdrop.pro and through the form on our contact page, during the hours shown there. We aim to answer within one business day.
We improve the product continuously, and features may change. We will not remove something material to a paid plan without telling you first.
9. Suspension and closure
We may suspend or close an account if:
- It breaks section 5, in which case we may act immediately and without notice.
- Payment has failed and the grace period in the Refund and Cancellation Policy has passed.
- We are required to by law or by a payment partner.
Except where the law or an immediate risk prevents it, we will tell you what happened and give you a chance to put it right. Where we can, we will give you a way to export your data before an account is closed.
You can close your account at any time from the merchant portal or by emailing us.
10. Our intellectual property
Shopdrop, the Shopdrop name and logo, the platform, and the themes and templates we provide are ours or our licensors'. You may use them to run your store while you have an account, and not otherwise. You may not copy the platform, resell access to it, or remove our attribution where a plan requires it.
If you send us feedback or a feature suggestion, we may act on it freely and without owing you anything for it.
11. Warranties and liability
We provide Shopdrop with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it is, without further warranties of any kind.
We are not liable for lost profits, lost sales, lost data, or indirect or consequential loss. Where we are liable, our total liability in any twelve month period is limited to what you paid us in the twelve months before the event.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected.
You agree to cover us against claims brought by your buyers or third parties arising from what you sold, what you published, or how you handled someone's data.
12. Changes to these terms
We may update these terms. For a material change we will email you at least 30 days before it takes effect. Continuing to use Shopdrop after that means you accept the new terms; if you do not, cancel before the date and the old terms apply until your period ends. The date at the top of this page shows the current version.
13. Governing law
These terms are governed by the laws of the country where SHOPDROP (PRIVATE) LIMITED is incorporated, and the courts of the city of its registered office have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of the mandatory law of your own country.
Come to us first. Almost everything is quicker to resolve by email than by lawyers.
